Sout\u011b\u017eitel\u016fm se tak nask\u00fdt\u00e1 efektivn\u00ed mo\u017enost dos\u00e1hnout mnohdy i z\u00e1sadn\u00edho sn\u00ed\u017een\u00ed p\u0159edepsan\u00e9 \u010d\u00e1stky pokuty. K\u00a0tomu je t\u0159eba ale dodr\u017eet p\u0159edpoklady, a to nejl\u00e9pe ji\u017e p\u0159i zav\u00e1d\u011bn\u00ed compliance programu jako preventivn\u00edho opat\u0159en\u00ed.<\/em><\/strong><\/p>\n\n\n\n<p><strong>Co je t\u0159eba dodr\u017eet, aby \u00daOHS p\u0159ihl\u00e9dl ke compliance program\u016fm jako poleh\u010duj\u00edc\u00ed okolnosti?<\/strong><\/p>\n\n\n\n<p>C\u00edlem vnit\u0159n\u00edho compliance programu v&nbsp;oblasti hospod\u00e1\u0159sk\u00e9 sout\u011b\u017ee je nastavit takov\u00e9 soubory pravidel a opat\u0159en\u00ed, kter\u00e9 maj\u00ed za c\u00edl p\u0159edev\u0161\u00edm zv\u00fd\u0161it pov\u011bdom\u00ed o pr\u00e1vu hospod\u00e1\u0159sk\u00e9 sout\u011b\u017ee a p\u0159edch\u00e1zet tak poru\u0161en\u00ed sout\u011b\u017en\u00edch pravidel. Aby compliance program p\u0159ed \u00daOHS obst\u00e1l, je pot\u0159eba, aby byl v&nbsp;prvn\u00ed \u0159ad\u011b efektivn\u00ed a plnil svoji funkci. Je nezbytn\u00e9 ho nastavit v\u017edy tak, aby vyhovoval konkr\u00e9tn\u00edmu sout\u011b\u017eiteli, a to na v\u0161ech jeho \u00farovn\u00edch, od \u0159adov\u00fdch zam\u011bstnanc\u016f, vy\u0161\u0161\u00ed management, jednotliv\u00e9 dodavatele a nejvy\u0161\u0161\u00ed veden\u00ed. C\u00edlem takov\u00e9ho compliance programu by m\u011blo b\u00fdt celkov\u00e9 prosout\u011b\u017en\u00ed nastaven\u00ed firemn\u00ed kultury, nap\u0159\u00edklad prost\u0159ednictv\u00edm firemn\u00edch hodnot, pravidel a postup\u016f.<\/p>\n\n\n\n<p>Dal\u0161\u00ed, co mus\u00ed sout\u011b\u017eitel splnit, aby \u00da\u0159ad v\u016fbec o sn\u00ed\u017een\u00ed pokuty v&nbsp;r\u00e1mci sv\u00e9 diskrece uva\u017eoval, je \u00fasp\u011b\u0161n\u00e9 vyu\u017eit\u00ed tzv. leniency programu nebo narovn\u00e1n\u00ed, a to v&nbsp;dan\u00e9m spr\u00e1vn\u00edm \u0159\u00edzen\u00ed p\u0159ed \u00da\u0159adem. Compliance program tedy nelze vid\u011bt jako jak\u00fdsi prost\u0159edek z\u00e1chrany a nem\u011bl by vznikat a\u017e v&nbsp;r\u00e1mci prob\u00edhaj\u00edc\u00edho \u0159\u00edzen\u00ed (mohlo by se tak naopak jednat o postup, jen\u017e by dan\u00e9 organizaci mohl b\u00fdt dle m\u00edn\u011bn\u00ed autor\u016f sp\u00ed\u0161e k&nbsp;t\u00ed\u017ei, by\u0165 by bylo lze argumentovat postupnou snahou takov\u00fd program zav\u00e1d\u011bt). Rozumnou snahou a o\u010dek\u00e1van\u00fdm postupem by proto m\u011blo b\u00fdt zav\u00e9st ho ji\u017e jako preventivn\u00ed opat\u0159en\u00ed, kter\u00e9 m\u00e1 protisout\u011b\u017en\u00edmu jedn\u00e1n\u00ed zabr\u00e1nit a v&nbsp;p\u0159\u00edpad\u011b poru\u0161en\u00ed sout\u011b\u017ee nam\u00edtat, \u017ee tu takov\u00fd program zaveden je.<\/p>\n\n\n\n<p>\u00da\u0159ad posuzuje ka\u017ed\u00e9 sn\u00ed\u017een\u00ed pokuty ve smyslu compliance programu ad hoc, tedy nesta\u010d\u00ed, \u017ee je program pouze form\u00e1ln\u011b p\u0159ijat\u00fd a nen\u00ed prok\u00e1z\u00e1no, \u017ee je skute\u010dn\u011b efektivn\u00ed. D\u016fkazn\u00ed b\u0159emeno tedy logicky le\u017e\u00ed na sout\u011b\u017eiteli, jen\u017e mus\u00ed \u0159\u00e1dn\u00e9 zaveden\u00ed a vynucov\u00e1n\u00ed sv\u00e9ho compliance programu \u00fasp\u011b\u0161n\u011b dolo\u017eit.<\/p>\n\n\n\n<p><strong>\u017d\u00e1dost o zohledn\u011bn\u00ed compliance programu<\/strong><\/p>\n\n\n\n<p>\u00daOHS s\u00e1m od sebe \u010di ex officio (z moci \u00fa\u0159edn\u00ed) compliance program v&nbsp;potaz nebere. Je t\u0159eba \u00da\u0159ad po\u017e\u00e1dat, zda a\u0165 u\u017e pos\u00edlen\u00ed compliance programu \u010di zcela nov\u011b zav\u00e1d\u011bn\u00fd program bude mo\u017en\u00e9 kvalifikovat jako poleh\u010duj\u00edc\u00ed okolnost, a to nejpozd\u011bji do vyd\u00e1n\u00ed sd\u011blen\u00ed v\u00fdhrad.<\/p>\n\n\n\n<p>\u017d\u00e1dost jako takov\u00e1 mus\u00ed obsahovat n\u00e1sleduj\u00edc\u00ed podklady:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>D\u016fvody, pro\u010d je compliance program pro dan\u00e9ho sout\u011b\u017eitele dostate\u010dn\u011b efektivn\u00ed ve smyslu p\u0159edch\u00e1zen\u00ed poru\u0161ov\u00e1n\u00ed pravidel hospod\u00e1\u0159sk\u00e9 sout\u011b\u017ee;<\/li>\n\n\n\n<li>texty v\u0161ech \u010d\u00e1st\u00ed compliance programu (ale pouze ty, kter\u00e9 se t\u00fdkaj\u00ed problematiky hospod\u00e1\u0159sk\u00e9 sout\u011b\u017ee); a<\/li>\n\n\n\n<li>popis konkr\u00e9tn\u00edch opat\u0159en\u00ed ve vztahu k pos\u00edlen\u00ed \u010di zav\u00e1d\u011bn\u00ed compliance programu, kdy je pot\u0159eba uv\u00e9st i, jestli u\u017e byla tato opat\u0159en\u00ed zavedena \u010di kdy se tak stane.<\/li>\n<\/ol>\n\n\n\n<p><strong>V\u00fdhody compliance programu zaveden\u00e9ho ji\u017e p\u0159ed zah\u00e1jen\u00edm vy\u0161et\u0159ov\u00e1n\u00ed \u00da\u0159adu<\/strong><\/p>\n\n\n\n<p>Jak ji\u017e bylo v\u00fd\u0161e \u0159e\u010deno, \u00da\u0159ad c\u00edl\u00ed na to, aby programy vznikaly co nejd\u0159\u00edve a slou\u017eily prim\u00e1rn\u011b jako preventivn\u00ed opat\u0159en\u00ed. To se projevuje i v&nbsp;p\u0159\u00edstupu \u00da\u0159adu, kdy v\u00fd\u0161e sn\u00ed\u017een\u00ed u p\u0159\u00edslu\u0161n\u00e9 pokuty se li\u0161\u00ed dle toho, jestli sout\u011b\u017eitel m\u011bl compliance program zaveden\u00fd ji\u017e p\u0159ed zah\u00e1jen\u00edm \u0159\u00edzen\u00ed nebo se k&nbsp;jeho zaveden\u00ed zav\u00e1\u017ee a\u017e pot\u00e9, co \u0159\u00edzen\u00ed zapo\u010dne.<\/p>\n\n\n\n<p>U compliance program\u016f, kter\u00e9 byly p\u0159ijat\u00e9 a zaveden\u00e9 p\u0159ed zah\u00e1jen\u00edm \u0159\u00edzen\u00ed a kter\u00e9 se jen uk\u00e1zaly jako ne zcela \u00fa\u010dinn\u00e9, je tomu tak, \u017ee sout\u011b\u017eitel m\u016f\u017ee dos\u00e1hnout sn\u00ed\u017een\u00ed z\u00e1kladn\u00ed \u010d\u00e1stky pokuty a\u017e o 10 %. Mus\u00ed ale compliance program zm\u011bnit tak, aby umo\u017e\u0148oval rychl\u00e9 odhalen\u00ed a p\u0159eru\u0161en\u00ed protisout\u011b\u017en\u00edho jedn\u00e1n\u00ed. Nav\u00edc u zaveden\u00e9ho compliance programu nesm\u011blo doj\u00edt k protisout\u011b\u017en\u00edmu jedn\u00e1n\u00ed s v\u011bdom\u00edm statut\u00e1rn\u00edch org\u00e1n\u016f \u010di vy\u0161\u0161\u00edho managementu dan\u00e9ho sout\u011b\u017eitele, takov\u00fd program nep\u0159ich\u00e1z\u00ed jako poleh\u010duj\u00edc\u00ed okolnost v&nbsp;\u00favahu. Upravit compliance program tak lze \u0159adou n\u00e1stroj\u016f, nap\u0159. zm\u011bnou textace intern\u00ed \u0159\u00edd\u00edc\u00ed dokumentace, aktualizac\u00ed smluvn\u00edch z\u00e1vazk\u016f, zaveden\u00edm \u0161kolen\u00ed apod.<\/p>\n\n\n\n<p>Naproti tomu u program\u016f, kde se sout\u011b\u017eitel p\u00edsemn\u011b zav\u00e1\u017ee k&nbsp;jejich nastaven\u00ed a zaveden\u00ed a\u017e po zah\u00e1jen\u00ed \u0159\u00edzen\u00ed, nelze o\u010dek\u00e1vat sn\u00ed\u017een\u00ed v\u011bt\u0161\u00ed ne\u017e 5 %. Zav\u00e1z\u00e1n\u00ed se ale samo o sob\u011b nesta\u010d\u00ed. P\u0159edlo\u017een\u00fd compliance program mus\u00ed vykazovat rozumnou kvalitu, jako\u017e i spr\u00e1vn\u00fd p\u0159\u00edstup sout\u011b\u017eitele p\u0159i jeho tvorb\u011b a zav\u00e1d\u011bn\u00ed. Takov\u00fd postup se d\u00e1 p\u0159edstavit nap\u0159\u00edklad v anga\u017eov\u00e1n\u00ed profesion\u00e1ln\u00ed pr\u00e1vn\u00ed podpory k&nbsp;uskute\u010dn\u011bn\u00ed interview se z\u00e1stupci jednotliv\u00fdch \u00fatvar\u016f spole\u010dnosti, zji\u0161t\u011bn\u00ed a vyhodnocen\u00ed \u00faskal\u00ed st\u00e1vaj\u00edc\u00edch mechanism\u016f compliance programu a p\u0159\u00edprav\u011b tzv. gap anal\u00fdzy reflektuj\u00edc\u00ed rozd\u00edl mezi st\u00e1vaj\u00edc\u00edm a k\u00fd\u017een\u00fdm stavem, tvorb\u011b chyb\u011bj\u00edc\u00ed dokumentace \u010di aktualizaci t\u00e9 ji\u017e v&nbsp;organizaci zaveden\u00e9.<\/p>\n\n\n\n<p><strong>Doporu\u010den\u00ed \u00daOHS k&nbsp;dosa\u017een\u00ed efektivn\u00edch compliance program\u016f<\/strong><\/p>\n\n\n\n<p>Ji\u017e bylo zm\u00edn\u011bno, \u017ee \u00da\u0159ad p\u0159istupuje ke ka\u017ed\u00e9mu posouzen\u00ed individu\u00e1ln\u011b a je ponech\u00e1no v&nbsp;jeho spr\u00e1vn\u00ed diskreci, jestli se pro sn\u00ed\u017een\u00ed po zohledn\u011bn\u00ed ve\u0161ker\u00e9 sout\u011b\u017eitelem p\u0159edlo\u017een\u00e9 argumentace rozhodne, \u010di nikoliv. Nicm\u00e9n\u011b je k&nbsp;dispozici cel\u00e1 \u0159ada prvk\u016f, kter\u00e9 napom\u00e1haj\u00ed efektivnosti compliance program\u016f, a tedy ve v\u00fdsledku jejich spr\u00e1vn\u00e9mu fungov\u00e1n\u00ed.<\/p>\n\n\n\n<p>Program by m\u011bl b\u00fdt nejl\u00e9pe seps\u00e1n p\u00edsemn\u011b a prostupovat celou strukturou sout\u011b\u017eitele ide\u00e1ln\u011b v&nbsp;pyramidi\u00e1ln\u00ed (hierarchick\u00e9) stavb\u011b, tedy aby o n\u011bm m\u011bli pov\u011bdom\u00ed jak statut\u00e1rn\u00ed z\u00e1stupci, tak mana\u017ee\u0159i na v\u0161ech \u00farovn\u00edch i \u0159adov\u00ed zam\u011bstnanci. Nejl\u00e9pe by se m\u011blo jednat o soupis pravidel a proces\u016f se zam\u011b\u0159en\u00edm i na obecn\u00e9 charakteristiky sout\u011b\u017en\u00edho pr\u00e1va, jednotliv\u00e1 protisout\u011b\u017en\u00ed jedn\u00e1n\u00ed a zp\u016fsoby vym\u00e1h\u00e1n\u00ed souladn\u00e9ho stavu.<\/p>\n\n\n\n<p>Dob\u0159e nastaven\u00fd compliance program by se m\u011bl zam\u011b\u0159it na vyhodnocen\u00ed rizik, kter\u00fdm je dan\u00fd sout\u011b\u017eitel na relevantn\u00edm produktov\u00e9m, geografick\u00e9m a \u010dasov\u00e9m trhu vystaven, a obsahovat konkr\u00e9tn\u00ed sadu opat\u0159en\u00ed, jak jim p\u0159edch\u00e1zet, p\u0159\u00edpadn\u011b je eliminovat, nebo alespo\u0148 na \u00farove\u0148 rozumn\u00e9 akceptace spolehliv\u011b redukovat. Z\u00e1rove\u0148 je vhodn\u00e9 pravideln\u011b \u0161kolit zam\u011bstnance i veden\u00ed organizace a stanovit pravideln\u00fd, zaznamenateln\u00fd a komplexn\u00ed dohled nad dodr\u017eov\u00e1n\u00edm compliance programu, etablovat roli tzv. compliance officera \u010di zav\u00e9st dal\u0161\u00ed obdobn\u00e9 n\u00e1stroje. V&nbsp;p\u0159\u00edpad\u011b, \u017ee dojde k&nbsp;poru\u0161en\u00ed, by m\u011bl b\u00fdt zaveden syst\u00e9m disciplin\u00e1rn\u00edch opat\u0159en\u00ed s&nbsp;p\u0159\u00edslu\u0161n\u00fdmi odpov\u011bdnostn\u00edmi maticemi pro jednotliv\u00e9 role, v\u010detn\u011b propojen\u00ed nap\u0159\u00edklad na poji\u0161\u0165ovac\u00ed sch\u00e9mata.<\/p>\n\n\n\n<p>Compliance program m\u016f\u017ee b\u00fdt dokonce nav\u00e1z\u00e1n na tzv. vnit\u0159n\u00ed oznamovac\u00ed syst\u00e9m ve smyslu z\u00e1kona \u010d. 171\/2023 Sb., o ochran\u011b oznamovatel\u016f u spole\u010dnost\u00ed s&nbsp;v\u00edce ne\u017e 50 zam\u011bstnanci. Toho lze doc\u00edlit zaveden\u00edm intern\u00edho informa\u010dn\u00edho kan\u00e1lu, kam se mohou zam\u011bstnanci obr\u00e1tit v&nbsp;p\u0159\u00edpad\u011b, \u017ee maj\u00ed pochybnosti \u010di v\u00ed, \u017ee do\u0161lo k&nbsp;poru\u0161en\u00ed sout\u011b\u017en\u00edho pr\u00e1va. Je ale vhodn\u00e9, aby takov\u00fd kan\u00e1l zaji\u0161toval mo\u017enost zachov\u00e1n\u00ed anonymity a spl\u0148oval dal\u0161\u00ed z\u00e1konem a evropsk\u00fdmi p\u0159edpisy specifikovan\u00e1 krit\u00e9ria. Nutno podotknout, \u017ee zaveden\u00ed intern\u00edho informa\u010dn\u00edho kan\u00e1lu je obecn\u011b prosp\u011b\u0161n\u00e9, nehled\u011b na po\u010det zam\u011bstnanc\u016f \u010di typ organizace, jakkoliv se v&nbsp;tomto p\u0159\u00edpad\u011b tr\u017en\u00ed standard teprve utv\u00e1\u0159\u00ed.<\/p>\n\n\n\n<p><strong>Z\u00e1v\u011br<\/strong><\/p>\n\n\n\n<p>Jak je z&nbsp;uveden\u00e9ho z\u0159ejm\u00e9, zaveden\u00ed compliance program\u016f v&nbsp;oblasti hospod\u00e1\u0159sk\u00e9 sout\u011b\u017ee s&nbsp;sebou nese mnoho v\u00fdhod.
