In this blogpost we&#8217;re not going to try to fully explore the various legal aspects of AI. We want to focus on one narrow intersection: between generative AI tools competition law. We&#8217;ll look at &#8211; or rather ask some initial questions &#8211; how each main area of competition law could be relevant to the business conduct of ChatGPT (or rather OpenAI Inc., the company behind the chatbot) and similar generative AI tools.\u00a0<\/span><a href=\"#hivatkozas\">[2]<\/a><\/strong><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-ad7d7b1 elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"ad7d7b1\" data-element_type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-f4f59de\" data-id=\"f4f59de\" data-element_type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-6581ec8 elementor-widget elementor-widget-text-editor\" data-id=\"6581ec8\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p><strong>Anti-competitive agreements<\/strong><\/p><p>The prohibition of anti-competitive agreements (in other words, the cartel prohibition) applies to all undertakings. This includes companies that provide generative AI services, like ChatGPT. They\u2019re innovative services, but the companies involved (including managers and employees) are prohibited from engaging in any collusive conduct (eg concluding agreements on the fixing of prices, sharing markets or exchanging sensitive information).<\/p><p>Are there any specialities in the generative AI business in this respect? The following points merit special attention:<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-be02304 elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"be02304\" data-element_type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-9290f49\" data-id=\"9290f49\" data-element_type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-a57afb4 elementor-widget elementor-widget-text-editor\" data-id=\"a57afb4\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<ul><li><i><strong>Generative collusion<\/strong>:<\/i> How and to what extent can competing generative AI tools \u201cuse\u201d each other, learn from each other and engage in some kind of \u201cinteraction\u201d? <strong>If one chatbot can access the public business conditions (including prices and terms) applicable for a competing chatbot, it can then suggest (or make) changes to its own business conditions. This can be seen as autonomous adaptation to market conditions, which should not raise concerns. But if this is done by most or all chatbots on the market, could the chatbots realise the advantages of cooperation as opposed to competition and come up with the same general terms and conditions or prices?<\/strong><\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-0958c9b elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"0958c9b\" data-element_type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-873fc05\" data-id=\"873fc05\" data-element_type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-cdbe25b elementor-widget elementor-widget-text-editor\" data-id=\"cdbe25b\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<ul><li><i><strong>Platform collusion<\/strong>:<\/i> A chatbot could provide a platform for collusion for players in an entirely different market, especially if it can collect and disseminate data. <a href=\"#hivatkozas\">[3]<\/a> <strong>For example, competitors in an industry could provide the chatbot with their current pricing, output or other sensitive data. Then it could get data about others by putting relevant questions to the chatbot. Is the chatbot liable \u2013 just like a well-known consultancy firm once was for organising secret physical meetings for the worldwide hydrogen peroxide cartel \u2013 as a contributor under EU competition law?\u00a0<\/strong><a href=\"#hivatkozas\">[4]<\/a><\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-1a790aa elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"1a790aa\" data-element_type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-582578b\" data-id=\"582578b\" data-element_type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-4b1815b elementor-widget elementor-widget-text-editor\" data-id=\"4b1815b\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<ul><li><i><strong>Cross-shareholdings \/ cross-directorships<\/strong>:<\/i> Many Big Tech companies and other investors have shares in various generative AI companies. These companies \u2013 which may be direct competitors \u2013 need to pay particular attention to erecting internal and external barriers to prevent the exchange of sensitive information (eg business plans, current \/ future pricing data). These compliance measures are essential to enable fully autonomous decision-making at each generative AI company and to secure a fully competitive landscape.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-c12a5f7 elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"c12a5f7\" data-element_type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-f323089\" data-id=\"f323089\" data-element_type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-d6806fc elementor-widget elementor-widget-text-editor\" data-id=\"d6806fc\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<ul><li><strong><i>Compliance<\/i><\/strong>: ChatGPT could also be an incredibly useful tool to foster competition law compliance. For example, by generating or reviewing simpler compliance documents for companies (eg drafting a new manual to handle dawn raids by competition authorities). A competition law expert should closely supervise this to ensure accuracy and completeness. Using AI for compliance is not a new phenomenon: DLA Piper has already been using its own AI tool, <a href=\"https:\/\/www.dlapiper.com\/en-gb\/about-us\/law-and\/aiscension\">Aiscension<\/a>, to quickly spot evidence of anti-competitive behaviour in large batches of documents (such as entire email boxes).<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-1ec93f2 elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"1ec93f2\" data-element_type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-55f0300\" data-id=\"55f0300\" data-element_type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-0909da9 elementor-widget elementor-widget-text-editor\" data-id=\"0909da9\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p><strong>Abuse of dominance<\/strong><\/p><p>Competition law also prohibits abuse of a dominant position. Could ChatGPT or other similar service providers be regarded as dominant, either individually or collectively?<\/p><p><span style=\"font-size: 16px\">ChatGPT is an extremely popular tool. It had more than 100 million users in February 2023. <\/span><a style=\"font-size: 16px;background-color: #ffffff\" href=\"#hivatkozas\">[5]<\/a><span style=\"font-size: 16px\">, There are also major competitors to OpenAI\u2019s new system \u2013 Google Bard, Facebook\u2019s RoBERTa and also innovative startups like Caldera Labs Inc.\u2019s Cohere or AI21Labs\u2019 WordTune.<\/span><\/p><ul><li>To provide a more nuanced view on possible abuse issues, we\u2019d have to review the precise arena of competition for generative AI services, ie the relevant product and geographic market. It\u2019s been argued that ChatGPT could cause disruptive competition on a wider scale. It may put competitive pressure on the market of general internet search engines (such as Google Search). For consumers it could be a substitute for \u2013 and may be even superior to \u2013 general search services. <a href=\"#hivatkozas\">[7]<\/a><\/p><p><a href=\"#_ftnref1\" name=\"_ftn1\"><\/a><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-d5d536d elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"d5d536d\" data-element_type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-54dd1b4\" data-id=\"54dd1b4\" data-element_type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-2fa3f94 elementor-widget elementor-widget-text-editor\" data-id=\"2fa3f94\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<ul><li>Although the market for natural language processing and generation is innovative, there are significant barriers to entry. For example, the exponentially increasing costs of training the large language models (LLMs) used by generative AI companies. <a href=\"#hivatkozas\">[8]<\/a><\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-09c1471 elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"09c1471\" data-element_type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-6987174\" data-id=\"6987174\" data-element_type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-f22bca9 elementor-widget elementor-widget-text-editor\" data-id=\"f22bca9\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<ul><li>A possible indication of dominance could be that generative AI services may also fall under a special regulation \u00ad\u2013 Regulation 2022\/1925\/EU, known as the Digital Markets Act. It\u2019s even possible the European Commission will classify companies providing generative AI services as \u201cgatekeepers.\u201d It could be argued they provide \u201ccore platform services\u201d (like virtual assistants and search engines).<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-396b11f elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"396b11f\" data-element_type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-6f47914\" data-id=\"6f47914\" data-element_type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-54bd651 elementor-widget elementor-widget-text-editor\" data-id=\"54bd651\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>This shows the issue of possible dominance is certainly too early to call. But the relevant market players will have to be watched closely to ensure they remain open, innovative and competitive. <a href=\"#hivatkozas\">[9]<\/a><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-0918c1a elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"0918c1a\" data-element_type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-934b7ab\" data-id=\"934b7ab\" data-element_type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-ab852b7 elementor-widget elementor-widget-text-editor\" data-id=\"ab852b7\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p><strong>Merger control<\/strong><\/p><p>Major tech players are already investing in various generative AI products, including ChatGPT. If these investments reach the level of control defined in most merger control regimes (eg majority of voting rights or a veto right on important business decisions), these transactions (as concentrations) could be scrutinised by antitrust authorities.<\/p><p>We\u2019re not aware of any transactions notified to a major competition authority where generative AI was at the forefront of the competition assessment. But sooner or later merger control will also play a role in this field of the economy. For example, the Hungarian Competition Act prohibits unfair competition in general. It also includes specific prohibitions such as the one relating to passing off (preventing one trader from misrepresenting goods or services as being the goods and services of another (competing) trader). And one on breaching business secrets.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-a1e5f35 elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"a1e5f35\" data-element_type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-d4a7484\" data-id=\"d4a7484\" data-element_type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-e9b6b4d elementor-widget elementor-widget-text-editor\" data-id=\"e9b6b4d\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<ul><li><span style=\"font-size: 16px;background-color: var(--ast-global-color-5)\">One issue with generative AI is that it\u2019s extremely easy to produce text \u2013 intentionally\u00a0<\/span><a style=\"font-size: 16px\" href=\"#hivatkozas\">[10] <\/a><span style=\"font-size: 16px;background-color: var(--ast-global-color-5)\">or unintentionally \u2013 that resembles that of other companies or brands. ChatGPT (or, more plausibly, ChatGPT\u2019s sister product DALL-E, the image generator) could be seen as a direct competitor to the artists or designers whose style it can mimic.<br \/><\/span><br \/>When ChatGPT produces a new text in the distinctive style of an artist, and if the text is then used by a company (eg as a slogan for a new commercial), it could harm the artist and cause a significant loss of business. This could be described as unfair competition in the form of passing off. Importantly, this prohibition could also apply even if, from an IP perspective, there\u2019s no copyright infringement (eg because under copyright law, as opposed to specific works of art, style and stylistic elements are much more difficult to protect).<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-57f25af elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"57f25af\" data-element_type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-c375330\" data-id=\"c375330\" data-element_type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-bed7615 elementor-widget elementor-widget-text-editor\" data-id=\"bed7615\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<ul>\n<li>Breach of business secrets is also an issue. Under EU law, trade secrets are defined by Directive 2016\/943\/EU as information that\u2019s: <br>&#8211; secret; <br>&#8211; has commercial value because it is secret; and<br>&#8211; has been subject to reasonable steps under the circumstances, by the person lawfully in control of the information, to keep it secret.<\/li>\n<\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-607976f elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"607976f\" data-element_type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-4b2339b\" data-id=\"4b2339b\" data-element_type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-9571ef6 elementor-widget elementor-widget-text-editor\" data-id=\"9571ef6\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>EU law also prohibits the unlawful acquisition, use and disclosure of trade secrets. What if ChatGPT learned of a trade secret during its training (eg information made inadvertently available on the internet)? What if ChatGPT learned of a trade secret from new data being inputted into it (eg if a lawyer copy-pastes a client\u2019s contract to have it reviewed for specific clauses)? <a href=\"#hivatkozas\">[11] <\/a><b>What happens if ChatGPT then reveals the newly learned information or secrets to an interested third party? Arguably, such an \u201caction\u201d by ChatGPT could be a breach of the prohibitions and could constitute unfair
