The updates are, at a number of points, based on recommendations made by the Hungarian Competition Association (with DLA Piper\u2019s antitrust group providing significant input). The amendments will generally enter into force on 1 January 2023 (with some exceptions for 1 February 2023). Below, we have collected some of the key changes for Hungarian and international businesses.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-4bb3f61 elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"4bb3f61\" data-element_type=\"section\" data-e-type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-9c70288\" data-id=\"9c70288\" data-element_type=\"column\" data-e-type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-d56a637 elementor-widget elementor-widget-text-editor\" data-id=\"d56a637\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p><strong>Increasing the merger thresholds <\/strong><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-3b4c371 elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"3b4c371\" data-element_type=\"section\" data-e-type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-d25dcaf\" data-id=\"d25dcaf\" data-element_type=\"column\" data-e-type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-9d1c6e2 elementor-widget elementor-widget-text-editor\" data-id=\"9d1c6e2\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>As of 1 January 2023, the undertakings concerned will have to notify a transaction under the \u201chard threshold\u201d rules if<\/p><ul><li>the parties\u2019 aggregate turnover exceeded 20 billion HUF (previously: 15 billion HUF); and<\/li><li>each of at least two parties\u2019 turnover exceeded 1,5 billion HUF (previously: 1 billion HUF) in Hungary in the previous business year.<\/li><\/ul><p>These changes generally follow the recent inflationary trends in Hungary (the last increase of the \u201csmaller\u201d, HUF 1 billion threshold occurred in 2017) but also aim to reduce the administrative burden on companies (the reasoning to the amendment states that the lawmaker altogether expects a 10-15% reduction in the number of notifications). \u00a0As a result, parties may choose to reconsider whether the new\/increased thresholds still apply to their proposed transaction.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-79f86ea elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"79f86ea\" data-element_type=\"section\" data-e-type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-4cf3ef5\" data-id=\"4cf3ef5\" data-element_type=\"column\" data-e-type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-97d27b6 elementor-widget elementor-widget-text-editor\" data-id=\"97d27b6\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p><strong>Clarification on notifications based on the \u201csoft threshold\u201d<\/strong><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-76460fc elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"76460fc\" data-element_type=\"section\" data-e-type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-2a145d9\" data-id=\"2a145d9\" data-element_type=\"column\" data-e-type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-409f350 elementor-widget elementor-widget-text-editor\" data-id=\"409f350\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>As a rule of thumb, unless the transaction meets the hard threshold, the parties do not have to notify it to the Hungarian Competition Authority (Gazdas\u00e1gi Versenyhivatal, \u201cGVH\u201d). However, a further, alternative \u201csoft threshold\u201d also applies to those instances where the \u201chard threshold\u201d does not capture a transaction that may have anti-competitive effects.<\/p><p>Although this latter \u201csoft threshold\u201d remains unchanged (the parties\u2019 aggregate turnover exceeded 5 billion HUF in Hungary in the previous business year), the amendment now clarifies that notifying a transaction under the soft threshold rule is not mandatory under law. As a result, the \u201csoft threshold\u201d system becomes a real voluntary notification regime, where it is indeed up to the parties to decide whether to notify or not (as there is clearly no sanction attached to closing without notification \u2013 as opposed to the \u201chard threshold\u201d, where closing without clearance entail gun jumping).<\/p><p>At the same time, the rules applicable for the GVH\u2019s subsequent investigatory powers remain unchanged: as a result, if the parties did not notify the transaction based on the \u201csoft threshold\u201d, the GVH may initiate a competition proceeding within six months from the transaction\u2019s implementation and may order various measures to restore competition.\u00a0<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-6ac6cd8 elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"6ac6cd8\" data-element_type=\"section\" data-e-type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-d299b7f\" data-id=\"d299b7f\" data-element_type=\"column\" data-e-type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-8b91923 elementor-widget elementor-widget-text-editor\" data-id=\"8b91923\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p><strong>Good faith merger notification to the GVH made possible: alignment with EU rules<\/strong><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-f11672f elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"f11672f\" data-element_type=\"section\" data-e-type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-9ee4c3c\" data-id=\"9ee4c3c\" data-element_type=\"column\" data-e-type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-d25ea31 elementor-widget elementor-widget-text-editor\" data-id=\"d25ea31\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>In Hungary, merger notifications have only been possible after the parties have signed their merger agreement, factually acquired the relevant controlling interest or announced their public takeover bid.\u00a0 Now, in line with the EU merger control regulations, the amendments allow parties to notify their transaction to the GVH where they can demonstrate their good faith intention of proceeding with the transaction. Although the precise meaning of this provision is to be developed, it will certainly allow greater flexibility to notify the GVH before the conclusion of their agreement (although parties have already enjoyed wide-ranging possibilities to discuss their proposed transaction with the GVH through the very effective informal guidance process).<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-9a396f7 elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"9a396f7\" data-element_type=\"section\" data-e-type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-4a82420\" data-id=\"4a82420\" data-element_type=\"column\" data-e-type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-0214817 elementor-widget elementor-widget-text-editor\" data-id=\"0214817\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p><strong>Increasing administrative fees and fines for gun jumping<\/strong><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-495ab93 elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"495ab93\" data-element_type=\"section\" data-e-type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-6271705\" data-id=\"6271705\" data-element_type=\"column\" data-e-type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-d6c24fc elementor-widget elementor-widget-text-editor\" data-id=\"d6c24fc\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>The GVH may impose a fine on the parties in case they implement a transaction before clearance from the GVH in case the above \u201chard thresholds\u201d are met. The fine amount is calculated from the transaction\u2019s implementation on a daily basis. As of 1 February 2023, the maximum daily fine amount will increase from 200,000 HUF to 300,000 HUF.<\/p><p>The administrative fee for the merger proceedings will also increase: the new figures are 4 million HUF (previously 3 million HUF) for the Phase I and 19 million HUF (previously 15 million HUF) for the Phase II proceedings. At the same time it is important that the fee for the \u201csimplified\u201d proceedings (1 million HUF, covering the vast majority of merger proceedings) remains unchanged.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-1e67376 elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"1e67376\" data-element_type=\"section\" data-e-type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-2a99a5c\" data-id=\"2a99a5c\" data-element_type=\"column\" data-e-type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-4bbd287 elementor-widget elementor-widget-text-editor\" data-id=\"4bbd287\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p><strong>Temporary control of investment funds and investment fund managers<\/strong><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-4e5627a elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"4e5627a\" data-element_type=\"section\" data-e-type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-0b5c221\" data-id=\"0b5c221\" data-element_type=\"column\" data-e-type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-60bf0b8 elementor-widget elementor-widget-text-editor\" data-id=\"60bf0b8\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Irrespective of the \u201chard\u201d and \u201csoft\u201d thresholds, a temporary acquisition for the purpose of resale will not have to be notified in cases where investment funds and investment fund managers acquire assets or shares of another undertaking if the resale is carried out within a one-year period. The personal scope of this provision (that previously covered insurance holding companies, credit institutions, financial holding companies etc.) will thus now be expanded to investment funds and investment fund managers.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-8e3034b elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"8e3034b\" data-element_type=\"section\" data-e-type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-9f41aee\" data-id=\"9f41aee\" data-element_type=\"column\" data-e-type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-33d2695 elementor-widget elementor-widget-text-editor\" data-id=\"33d2695\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p><strong>Formal notice \u2013 a new tool of the GVH<\/strong><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-4ed49cf elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"4ed49cf\" data-element_type=\"section\" data-e-type=\"section\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-b8f2518\" data-id=\"b8f2518\" data-element_type=\"column\" data-e-type=\"column\">\n\t\t\t<div class=\"elementor-widget-wrap elementor-element-populated\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-d4953d9 elementor-widget elementor-widget-text-editor\" data-id=\"d4953d9\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>By way of a formal notice, the GVH may contact and inform an undertaking about the GVH\u2019s concerns regarding the undertaking\u2019s allegedly unlawful practices. The formal notice does not preclude the initiation of a competition supervision procedure, nor does it mean a finding of an infringement. Therefore, the undertaking may present reasons to justify its conduct or the steps to be taken in order to comply with competition laws.<\/p><p>To increase transparency and promote compliance, the GVH will publish information about the formal notices on its website annually, including the alleged infringement and the markets concerned. Gatekeepers that provide services such as online marketplaces, social network services, online search engines and certain messaging services will be scrutinized by the European Commission under the new DMA rules, which will enter into force in May 2023.<\/p><p>In Hungary, the GVH will now be the designated authority that cooperates with European Commission in the course of enforcing the DMA.
